TERMS OF USE FOR CLEANERS

INTRODUCTION

Syzygy AI Corp. (“we”) welcomes you to use the CleanBee mobile application (“App”), a platform for Owners and Cleaners to connect and enter into agreements for cleaning services. These Terms of Use (“Terms”) describe the terms and conditions that govern your use of and access to our App. The Terms constitute an agreement between you and us, so please read these Terms carefully.

By accessing or using the App, you agree to be bound by these Terms, our Privacy Policy, and the other rules provided with the App, whether or not you are a registered user of our App. If you do not accept or understand the Terms, please do not use or access the App.

Changes to the Terms

The Terms can be updated from time to time. Please check back periodically for the latest version of the Terms. If there are any significant changes made to the Terms, we will notify you. Your use of the App following any changes to these Terms constitutes your acceptance of any such changes.

YOUR USE OF THE SERVICE

Eligibility

You must be at least 18 years old and a resident of the United States to access, use, or register with the App.

Your Account and Your Information

You have to create an account to access the App. Two types of accounts are available: “Owner” and “Cleaner.” Owner accounts are intended for clients wishing to obtain cleaning services for their cleaning locations. Cleaner accounts are for cleaning professionals who perform cleaning services for Owners. These Terms govern the use of the App by Cleaners. If you have registered an Owner account, your use of the App is governed by our Terms of Use for Owners.

You must protect any passwords or other credentials associated with your account in the App and take full responsibility for any use of the account under your password. You agree to notify us of any breach of security or unauthorized use of your account.

To use the full functionality of the App, including entering into contracts with Owners, you must provide all of the following information:

Our Privacy Policy explains how we treat your personal data and protect your privacy when you use the App.

License to Use the App

We grant you a limited, non-exclusive, non-transferable, non-assignable license to access and make personal and non-commercial use of the downloadable software included in the App. You are not allowed to resell or commercially use any part of the App or its contents and materials.

Your Status

You agree to provide cleaning services solely as an independent service provider or business and not as our employee, agent, contractor, or partner. You assume all risk and liability in connection with the cleaning services you provide. If the jurisdiction where you provide the cleaning services requires that you have a license, permit, or certification to perform those services, you agree to obtain such license, permit, or certification and not to use the App until you have done so. Upon our request, you agree to provide proof that you have obtained all the necessary licenses, permits, or certifications.

USER CONTENT

You own all data, information, photos, text, and other materials that you upload, post, provide, develop, operate, or display in the App (“User Content”). You agree that your User Content will not violate any applicable laws or any third-party rights.

We do not take any ownership rights in the User Content. But you grant us a non-exclusive, assignable, royalty-free, perpetual, non-revocable, worldwide license to use, copy, modify, reproduce, store, display, publish, and distribute the User Content, including for the purpose of promoting the App. This license will last for a period that is commercially reasonable for us to use the User Content.

You may add information to be publicly displayed on your profile in the App, including information about yourself and your experience and photos demonstrating your work. If you add this information, you agree that it will be truthful and accurately represent your own work.

PUBLIC PROFILE DETAILS

The information displayed in your public profile in the App will be used to match you with Owners seeking cleaning services. You agree to provide only valid, accurate, and up-to-date information. You agree not to post your contact information so as to enable Owners to contact you outside the App. Any information you post must comply with the Prohibited Activities section of these Terms. If any information you have entered in the App becomes inaccurate, you agree to promptly edit that information in the App. If you provide inaccurate information to the extent that you are unable to perform a cleaning job for which you have entered into a contract with an Owner, the Owner may cancel the contract.

RECEIVING ORDERS AND SIGNING CONTRACTS

If your information matches the criteria of an Owner’s request, your public profile will be shown to the Owner in the list of available Cleaners in the App. You will receive a message in the chat section of the App if an Owner invites you to perform the cleaning job. There, you can discuss any other relevant details about the upcoming cleaning job, view the Owner’s photos of the cleaning location, and discuss any special services to be performed.

The Contract screen in the chat contains the approximate cost of the cleaning job and the applicable tax based on the information the Owner has entered about the cleaning location and your hourly rate and minimum order amount as specified in your public profile in the App. The approximate cost of the cleaning job is calculated based on the App’s forecast of the amount of time the specified cleaning job will require. The final cost may differ from the approximate cost if the actual time of the cleaning job differs from the forecast.

The Contract screen in the chat also contains the details the Owner has specified about the cleaning location and the planned cleaning job. You and the Owner may also agree on additional services for you to perform during the cleaning job that are not listed in the App’s services menu.

The details about the cleaning job, your hourly rate, minimum order amount, and cancellation policy form the terms of your contract with the Owner. Once you have agreed on all the terms with the Owner, you and the Owner will both be asked to select “Sign Contract” in the App. Once both you and the Owner sign, you and the Owner will enter a legally binding contract. We will not be a party to that contract and have no control over its performance.

If you have responded to an invitation, but the Owner has signed a contract with another Cleaner, the invitation will become inactive.

CONTRACT CANCELLATION

If you cancel a cleaning job without a good reason or fail to show up at the cleaning location at the scheduled time, you agree to pay a cancellation fee to us calculated as a percentage of the approximate cost of the cleaning job generated by the App.

If your account balance is zero or negative, your public profile will still be visible to Owners in the App, but your profile will be marked as deficient. To pay your balance, you may complete the canceled cleaning job or a new cleaning job, and we will deduct the cancellation fee from the fee you have earned for completing the job. You may also pay the cancellation fee to us directly using one of the available payment methods. If we are unable to recover the cancellation fee from you within a reasonable time, or if your cancellation fee balance exceeds $500, we will send you a notice to make the payment by a certain date. If you fail to pay your balance by that date, we may refer your account to a collections agency or seek to recover the debt from you in court. We may also temporarily or permanently cancel your access to the App.

PERFORMANCE OF CLEANING SERVICES

You agree to arrive at the cleaning location at the scheduled time for the cleaning job. You are responsible for obtaining directions to the cleaning location ahead of time and for contacting the Owner if you have any difficulty accessing the cleaning location.

You agree to obtain and bring with you all supplies and tools necessary to perform the cleaning services agreed on in the contract. You are solely responsible for the purchase and maintenance of your supplies and tools. You must take reasonable care not to damage or displace the Owner’s property while performing the cleaning services. You also agree to perform all cleaning services in a professional manner and up to the customary standards of quality expected of cleaning professionals.

When you are ready to start cleaning, you must select “Start Cleaning” in the App, and when you complete the cleaning job, you must select “Finish Cleaning.” You agree that the times when you select “Start Cleaning” and “Finish Cleaning” will accurately correspond to the times you actually start and finish the cleaning job. If we discover that your failure to comply with this term has caused us to overcharge the Owner, we may charge you for the difference in the amount the Owner was charged and the amount the Owner should have been charged had you used the timer accurately.

When you are ready to start cleaning, you must select “Start Cleaning” in the App, and when you complete the cleaning job, you must select “Finish Cleaning.” You agree that the times when you select “Start Cleaning” and “Finish Cleaning” will accurately correspond to the times you actually start and finish the cleaning job. If we discover that your failure to comply with this term has caused us to overcharge the Owner, we may charge you for the difference in the amount the Owner was charged and the amount the Owner should have been charged had you used the timer accurately.

If you do not select “Finish Cleaning” at the scheduled finish time, we will send you a reminder. If you do not select “Finish Cleaning” within 3 hours of the scheduled finish time, the cleaning job will be automatically finished.

Once you complete the job, you will be asked to rate the Owner on a scale of 1 to 5 stars and provide any feedback you may have about the Owner. You agree to provide truthful and fair feedback and ratings based solely on your experience of interacting with the Owner and performing the cleaning services.

ACCOUNT BANS FOR LOW RATINGS

If your rating in the App falls below what we consider acceptable to maintain our quality of service, we will send you a notice to increase your rating or risk having your account banned in the App. If you do not increase your rating within a reasonable time of this notice, we will ban your account in the App.

FEES AND PAYMENT

If you are a Cleaner, you agree to pay a service fee to us, which is calculated as a percentage of the total cleaning fee that an Owner pays you for a completed cleaning job. Our service fees range from 10% to 30% depending on your level in the App. There are six levels having the following attributes:

The fees you earn for your cleaning services, less the App’s service and transaction fees, will be credited to your account in the App within 5 business days of your completion of a cleaning job. However, if an Owner files a complaint about your cleaning services within 24 hours of your completion of a cleaning job, your fees will not be credited to your account unless and until the complaint is resolved in your favor. If the complaint is valid, you will only be credited if there is any amount left over after the Owner receives a refund.

You may transfer the funds from your account in the App to a bank account using the bank account information you provide. We use a payment processor to facilitate transfers and are not responsible for any delays or issues with the transfer. You must accept the payment processor’s terms of service in the App in order to complete any transfers. You will be solely responsible for any delays or issues that occur because you have entered inaccurate information about your bank account.

COMPLAINTS AND DISPUTE RESOLUTION

Any disputes relating to a cleaning job will be resolved in the App. If an Owner submits a complaint relating to your cleaning services, you will be asked to respond to the complaint. You agree to provide only true and relevant information in your response. If you provide false information in your response, we may temporarily or permanently cancel your access to the App.

USING INFORMATION OBTAINED THROUGH THE APP

You must use the App to schedule all cleaning jobs, sign all contracts, and receive all payments from Owners. Performing these or any other actions to contract to perform the cleaning services for any Owner using methods outside of the App is strictly prohibited. If we discover that you have violated this policy, you agree to pay a fee in the amount the App would have levied on the performed cleaning services had they been facilitated through the App, and we may temporarily or permanently cancel your access to the App. To enable our monitoring of users’ compliance with this policy, you agree that we may use GPS or other location-tracking technology.

PROHIBITED ACTIVITIES

The following restrictions apply to your use of the App. You are not allowed to:

We reserve our right to remove from the App any content that violates these restrictions or to suspend or terminate your account for violation of these Terms.

INTELLECTUAL PROPERTY

All rights, including any copyright, patent, trade secret, or other intellectual property rights in the App, will remain our sole property.

COPYRIGHT COMPLAINT

If you believe that your copyrights have been infringed in any way, please send us a complaint at it@syzygy-ai.com with “Copyright” in the subject line.

UPDATES TO THE SERVICE

We may issue updates or upgrades to the App and disable access to the App for any period of time or permanently. The App is subject to scheduled and unscheduled service interruptions.

You consent to automatic updates or upgrades of the version of the App that you are using on your device to a new version.

You agree that we will not be liable to you for any interruption of the App.

Our Privacy Policy explains how we collect, use, and protect your personal data.

When you collect or transmit any personal data through the App, you must follow all laws and obtain all permissions from each data source to transmit such data through the Apps. You agree not to:

Links to Third-Party Websites

The App may contain links to websites owned by third parties. Such links are provided for informational purposes only. We are not responsible for any third-party websites or their content.

Limitation of Liability

The App is an information and communications platform for connecting Owners and Cleaners. Apart from facilitating information exchange, we do not provide any services or supplies and are not responsible for the conduct of Owners, Cleaners, or any other third parties and will not be liable for any of their acts or omissions. We provide no warranties with respect to the services that were obtained with the help of the App.

We do not employ or contract with Cleaners, and Cleaners have no authority to act on our behalf. We do not supervise, direct, or control Cleaners’ work or conduct, are not liable for tax, unemployment insurance, or other withholding related to Cleaners’ work.

We perform background checks on all Cleaners prior to making their information and profiles available in the App. We use third-party service providers to perform the background checks, so we have no control of their processes and make no warranty about the completeness or accuracy of the checks they perform. You should exercise the same level of caution when interacting with Cleaners as you would with any other person whom you don’t know. We will not be liable for any damage that Cleaners may cause to you or your property.

The App is provided to you “as is.” We make no warranty of completeness, accuracy, availability, timeliness, security, or reliability of the App or any content in the App. We will not be liable for any damages, including loss of profits, loss of data, or other losses resulting from:

Indemnity

You agree to defend, indemnify, and hold us harmless from any claim, losses, obligations, damages, or expenses arising from your use of or access to the App, your breach of these Terms, or your violation of any law or the rights of a third party. This term will continue to be effective even if you have stopped using the App.

Governing Law and Resolution of Disputes

All claims relating to these Terms or the App will be governed by the law of Florida, excluding its conflict-of-laws rules. Any claim will be resolved by the American Arbitration Association or JAMS.

You agree that any cause of action arising out of or related to the App must commence within 1 year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

TERM AND TERMINATION

You may stop using the App or delete your account at any time.

We reserve the right to discontinue the App at any time without notice. We may also terminate or suspend your access to the App without notice if (a) you violate these Terms or (b) we are required to do so to comply with a legal requirement or court order.
