TERMS OF USE FOR HOME OWNERS

Syzygy AI Corp. (“we”) welcomes you to use the CleanBee mobile application (“App”), a platform for Owners and Cleaners to connect and enter into agreements for cleaning services. These Terms of Use (“Terms”) describe the terms and conditions that govern your use of and access to our App. The Terms constitute an agreement between you and us, so please read these Terms carefully. By accessing or using the App, you agree to be bound by these Terms, our Privacy Policy, and the other rules provided with the App, whether or not you are a registered user of our App. If you do not accept or understand the Terms, please do not use or access the App.

Changes to the Terms

The Terms can be updated from time to time. Please check back periodically for the latest version of the Terms. If there are any significant changes made to the Terms, we will notify you. Your use of the App following any changes to these Terms constitutes your acceptance of any such changes.

YOUR USE OF THE SERVICE.

Eligibility

You must be at least 18 years old and a resident of the United States to access, use, or register with the App.

Your Account and Your Information

You have to create an account to access the App. Two types of accounts are available: “Owner” and “Cleaner.” Owner accounts are intended for clients wishing to obtain cleaning services for their cleaning locations. Cleaner accounts are for cleaning professionals who perform cleaning services for Owners. These Terms govern the use of the App by Owners. If you have registered a Cleaner account, your use of the App is governed by our Terms of Use for Cleaners.

You must protect any passwords or other credentials associated with your account in the App and take full responsibility for any use of the account under your password. You agree to notify us of any breach of security or unauthorized use of your account.

To use the full functionality of the App, including entering into contracts with Cleaners, you must verify your phone number and email address. Our Privacy Policy explains how we treat your personal data and protect your privacy when you use the App.

License to Use the App

We grant you a limited, non-exclusive, non-transferable, non-assignable license to access and make personal and non-commercial use of the downloadable software included in the App. You are not allowed to resell or commercially use any part of the App or its contents and materials.

USER CONTENT

You own all data, information, photos, text, and other materials that you upload, post, provide, develop, operate, or display in the App (“User Content”). You agree that your User Content will not violate any applicable laws or any third-party rights.

We do not take any ownership rights in the User Content. But you grant us a non-exclusive, assignable, royalty-free, perpetual, non-revocable, worldwide license to use, copy, modify, reproduce, store, display, publish, and distribute the User Content, including for the purpose of promoting the App. This license will last for a period that is commercially reasonable for us to use the User Content.

PROVIDING CLEANING LOCATION DETAILS

You will be asked to provide details about the cleaning location in the App. You agree to select the options that most accurately describe your cleaning location and provide accurate information in the corresponding sections of the App. This information will be used to assess your cleaning needs and calculate your cleaning fees. If you provide inaccurate information to the extent that it makes a Cleaner unable to perform the cleaning services, the Cleaner may cancel the cleaning job.

The cleaning location address you provide will be verified in our address database. If we cannot locate the address you have provided in our database, you have the option of adding your address manually. In this case, you represent that it is a correct and accurate address of your cleaning location and agree to provide directions to reach your cleaning location if requested by a Cleaner. You are solely responsible for any inaccuracies in the address you have provided and agree to bear the cost of any delays in the Cleaner’s reaching your cleaning location because of such inaccuracies. If a Cleaner is unable to reach your cleaning location despite reasonable efforts to do so, or if the cleaning location does not exist, you agree to pay a cancellation fee.

If any information you have entered about your cleaning location becomes inaccurate, you agree to promptly edit that information in the App.

You have the option of entering additional information about your cleaning location and any wishes for Cleaners. We will transmit these wishes to the Cleaners, and they will reasonably accommodate them.

PLACING ORDERS AND SIGNING CONTRACTS

To place an order for cleaning, you agree to use the App’s built-in options for specifying the cleaning location, cleaning date and time, budget per hour, Cleaner rating, language for communicating with the Cleaner, the cleaning services to be performed, and any other options the App may provide. After you select all the required options, the App will yield search results of Cleaners matching those options. You can send invitations to one or more Cleaners to perform the cleaning job you have specified. You will then be transferred to the chat section of the App to discuss any other relevant details about the upcoming cleaning job, including sharing photos of the cleaning location, with the Cleaners who have accepted your invitation.

The Contract screen in the chat contains the approximate cost of the cleaning job and the applicable tax based on the information you have entered about the cleaning location and the Cleaner’s hourly rate and minimum order amount, which are specified in the Cleaner’s public profile in the App. The approximate cost of the cleaning job is calculated based on the App’s forecast of the amount of time the specified cleaning job will require. The final cost may differ from the approximate cost if the actual time of the cleaning job differs from the forecast. You agree to pay the final cost and the applicable tax after the Cleaner completes the cleaning job.

The Contract screen in the chat also contains the details you have specified about the cleaning location and the planned cleaning job. You and the Cleaner may also agree on additional services for the Cleaner to perform during the cleaning job that are not listed in the App’s services menu.

The details about the cleaning job, the Cleaner’s hourly rate, minimum order amount, and cancellation policy form the terms of your contract with the Cleaner. Once you have agreed on all the terms with the Cleaner, you and the Cleaner will both be asked to select “Sign Contract” in the App. Once both you and the Cleaner sign, you and the Cleaner will enter a legally binding contract. We will not be a party to that contract and have no control over its performance.

CONTRACT CANCELLATION

You may cancel a contract for a cleaning job before the scheduled cleaning time subject to the Cleaner’s cancellation policy, which may be found on each Cleaner’s public profile in the App. A Cleaner may charge you a cancellation fee, the amount of which depends on how far in advance of the scheduled cleaning job you cancel the contract. The cancellation fees are broken down into four levels, with the fee typically increasing the closer the cancellation is to the scheduled job:

By entering into a contract with a Cleaner, you agree to that Cleaner’s cancellation policy and to pay any applicable fees.

If you cancel a contract while a cleaning job is underway, your cancellation fee will equal either the Cleaner’s cancellation fee for contracts canceled less than 24 hours ahead of the scheduled cleaning job or the fee for actually performed cleaning services (the Cleaner’s hourly rate times the elapsed time of the cleaning job), whichever is higher.

FACILITATION OF CLEANING SERVICES

You agree to be present at the cleaning location at the scheduled time for the cleaning job. If someone else will be present at the cleaning location instead of you, you agree to notify the Cleaner of this in advance and provide to the Cleaner the contact information of the person who will be at the cleaning location.

You agree to facilitate the Cleaner’s access to your cleaning location, including to be available a reasonable time prior to the scheduled cleaning job to give directions, open any gates and doors, provide a place for the Cleaner to keep his or her supplies during the cleaning, and otherwise reasonably enable the Cleaner to perform all of the cleaning services agreed to in the applicable contract.

Once the Cleaner completes the job, you will be asked to rate the Cleaner’s services on quality, speed, and other criteria. You agree to provide a truthful and fair rating based solely on the Cleaner’s performance of the cleaning services.

FEES AND PAYMENT

If you are an Owner, you agree to pay for a Cleaner’s services through the App using the credit card information you provide in the App. You agree to enter information for a credit card that is valid and has a sufficient available credit limit to pay the cleaning and other fees and taxes you will be charged for cleaning services in the App.

Once a Cleaner starts a cleaning job, by pressing a button in the app, a hold will be placed on your credit card for the amount based on expected duration of the cleaning job, cleaner's rate as well as state taxes and transaction fee. As soon as Cleaner finishes cleaning, by pressing a button in the app, your card will be charged based on the actual duration of the cleaning job and the cleaner's rate. Final amount can be bigger or smaller than the initial hold - depending on cleaning duration. You will have 24 hours from that time to file any complaints about the cleaning job in the App. If you do not file any complaints in that period, money will be transferred to the Cleaner. If you do file a complaint, funds will be locked in the CleanBee account until the resolution of your complaint.

If you have rated the Cleaner’s job 5/5 stars in the App, you have the option of releasing payment to the Cleaner right away. If you select this option, money will be transferred from CleanBee account to the Cleaner's account right away, and you will no longer have the opportunity to file a complaint about the cleaning job or request a refund. Refunds do not include the transaction fee.

You may also leave a tip to the Cleaner. If you choose to leave a tip, you authorize us to charge the tip amount to your credit card on top of the total cost of the cleaning and the applicable tax and transaction's fee.

If we are unable to charge your credit card because you have insufficient funds in your account, we will send you a notice to update your credit card information or add funds to your account. You will not be able to sign new contracts as long as you have an unpaid balance with us. If you fail to pay your balance within a reasonable time, we may refer your account to a collections agency or seek to recover the debt from you in court. We may also temporarily or permanently cancel your access to the App.

COMPLAINTS AND DISPUTE RESOLUTION

Any disputes relating to a cleaning job will be resolved in the App. If you decide to submit a complaint, you will be asked to provide a basis for your complaint. You agree to provide only true and relevant information in your complaint. If you provide false information in your complaint, we may temporarily or permanently cancel your access to the App.

USING INFORMATION OBTAINED THROUGH THE APP

You must use the App to schedule all cleaning jobs, sign all contracts, and make all payments to Cleaners. Performing these or any other actions to retain the cleaning services of any Cleaner using methods outside of the App is strictly prohibited. If we discover that you have violated this policy, you agree to pay a fee in the amount the App would have levied on the performed cleaning services had they been facilitated through the App, and we may temporarily or permanently cancel your access to the App. To enable our monitoring of users’ compliance with this policy, you agree that we may use GPS or other location-tracking technology.

PROHIBITED ACTIVITIES

The following restrictions apply to your use of the App. You are not allowed to:

We reserve our right to remove from the App any content that violates these restrictions or to suspend or terminate your account for violation of these Terms.

INTELLECTUAL PROPERTY

All rights, including any copyright, patent, trade secret, or other intellectual property rights in the App, will remain our sole property.

COPYRIGHT COMPLAINT

If you believe that your copyrights have been infringed in any way, please send us a complaint at it@syzygy-ai.com with “Copyright” in the subject line.

UPDATES TO THE SERVICE

We may issue updates or upgrades to the App and disable access to the App for any period of time or permanently. The App is subject to scheduled and unscheduled service interruptions.

You consent to automatic updates or upgrades of the version of the App that you are using on your device to a new version.

You agree that we will not be liable to you for any interruption of the App.

PRIVACY

Our Privacy Policy explains how we collect, use, and protect your personal data.

When you collect or transmit any personal data through the App, you must follow all laws and obtain all permissions from each data source to transmit such data through the Apps. You agree not to:

Links to Third-Party Websites

The App may contain links to websites owned by third parties. Such links are provided for informational purposes only. We are not responsible for any third-party websites or their content.

Limitation of Liability

The App is an information and communications platform for connecting Owners and Cleaners. Apart from facilitating information exchange, we do not provide any services or supplies and are not responsible for the conduct of Owners, Cleaners, or any other third parties and will not be liable for any of their acts or omissions. We provide no warranties with respect to the services that were obtained with the help of the App.

We do not employ or contract with Cleaners, and Cleaners have no authority to act on our behalf. We do not supervise, direct, or control Cleaners’ work or conduct, are not liable for tax, unemployment insurance, or other withholding related to Cleaners’ work.

We perform background checks on all Cleaners prior to making their information and profiles available in the App. We use third-party service providers to perform the background checks, so we have no control of their processes and make no warranty about the completeness or accuracy of the checks they perform. You should exercise the same level of caution when interacting with Cleaners as you would with any other person whom you don’t know. We will not be liable for any damage that Cleaners may cause to you or your property.

The App is provided to you “as is.” We make no warranty of completeness, accuracy, availability, timeliness, security, or reliability of the App or any content in the App. We will not be liable for any damages, including loss of profits, loss of data, or other losses resulting from:

Indemnity

You agree to defend, indemnify, and hold us harmless from any claim, losses, obligations, damages, or expenses arising from your use of or access to the App, your breach of these Terms, or your violation of any law or the rights of a third party. This term will continue to be effective even if you have stopped using the App.

Governing Law and Resolution of Disputes

All claims relating to these Terms or the App will be governed by the law of Florida, excluding its conflict-of-laws rules. Any claim will be resolved by the American Arbitration Association or JAMS.

You agree that any cause of action arising out of or related to the App must commence within 1 year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

TERM AND TERMINATION

You may stop using the App or delete your account at any time.

We reserve the right to discontinue the App at any time without notice. We may also terminate or suspend your access to the App without notice if (a) you violate these Terms or (b) we are required to do so to comply with a legal requirement or court order.
